CODE OF ETICHS

Novotex Italiana S.p.A., aiming to guide its operations according to principles of legality, adopts a corporate Code of Ethics. This document establishes principles of professional ethical behavior, influenced by the Ten Principles of the UN’s Global Compact, and requires all those who have dealings with the company or its Novotex Italiana S.p.A. Group affiliates to strictly adhere to them.

Although the Code of Ethics has its specific significance, it also becomes an integral part of the Model of Organization, Management, and Control provided by Legislative Decree No. 231/2001, enhancing its value and effectiveness.

ORGANIZATION MODEL

Novotex Italiana S.p.A. has adopted an Organizational, Management, and Control Model pursuant to Legislative Decree No. 231/2001, aimed at preventing and countering behaviors that could constitute criminal offenses under the aforementioned legislation, by mapping so-called “sensitive” activities, identifying behavioral rules, conducting information and training activities, establishing a Supervisory Body, and adopting a disciplinary system to ensure the effective implementation of the Model.

Compliance with the principles set out in the Model is required of any party that has relations with Novotex Italiana S.p.A. or with other companies of the Novotex Italiana S.p.A. Group.

WHISTLEBLOWING

Novotex Italiana S.p.A./Noreco Chimica S.p.A. 

considers adherence to ethical principles based on correctness and loyalty, which inspire its operations and are identified in the Code of Ethics approved by the Board of Directors, as well as compliance with all regulatory provisions, to be fundamental.

For this reason, the company has activated an internal web platform dedicated to reporting illegal acts or violations of ethical principles (so-called “Whistleblowing”), which will be managed according to the provisions of Legislative Decree 24/2023 “Implementation of the Directive (EU) 2019/1937 of the European Parliament and of the Council, of 23 October 2019, on the protection of persons who report breaches of Union law and on provisions concerning the protection of persons who report breaches of national regulatory provisions”.

The IT platform allows for the management of communications sent by the whistleblower, ensuring confidentiality both in terms of the identity of the whistleblower and the individuals possibly involved, and in relation to the content of the reports, protected by security measures suitable to ensure the utmost secrecy, in accordance with EU Regulation 2016/679 on the protection of personal data.
